Novaris Website and Account Terms

1. Who we are and what these terms cover

1.1 These terms apply to the website at www.novariscall.com and to the account application at app.novariscall.com (together the "Site"). They are between you and Northbound Tech Ltd, a company registered in England and Wales with company number 17432444, whose registered office is at 71-75 Shelton Street, London WC2H 9JQ ("we", "us"). Novaris is a product of Northbound Tech Ltd.

1.2 By using the Site you agree to these terms. If you do not agree, do not use the Site.

1.3 These terms cover your use of the Site, the demo, and your account. The commercial terms on which we provide the Novaris platform to a reseller are in the Reseller Agreement at www.novariscall.com/legal/reseller-agreement, which you accept separately when you open a reseller account. Where these terms and the Reseller Agreement differ, the Reseller Agreement prevails for a reseller.

2. The Site

2.1 The Site describes a white-label AI phone answering platform that independent resellers sell to businesses under their own brand. Information on the Site is for general guidance. It is not an offer, and it is not advice about your business, your taxes or your legal obligations.

2.2 Prices on the Site are shown in United States dollars and exclude VAT, sales tax and similar taxes, which are charged in addition where applicable. Prices may change. The price you pay is the price in effect when you are charged, as set out in the Reseller Agreement.

2.3 The earnings calculator on the Site is an illustration based on figures you enter. It is not a forecast or a promise of what you will earn.

2.4 We may change, suspend or withdraw any part of the Site at any time.

3. The demo

3.1 The Site offers a demo in which you can talk to an example AI agent.

3.2 The demo tells you that the call is recorded. Do not give the demo personal information about another person, or payment card details.

3.3 The demo is limited in length per call and in the number of calls per visitor per day. We may change or withdraw the demo, or block a visitor who abuses it.

4. Accounts

4.1 To open a reseller account you must be at least 18 and already trading, as a sole trader or as a company.

4.2 You must give accurate information at sign-up and keep it up to date.

4.3 Each person who uses an account has their own login. Do not share logins, and keep them confidential. You are responsible for all use of your account, including use you did not authorize, and for the charges it incurs. Tell us at support@novariscall.com if you think a login has been compromised.

4.4 We are not liable for loss arising from unauthorized use of a login or account caused by your failure, or that of your users, to keep login details secure, except to the extent the loss is caused by our own breach of our security obligations under the Reseller Agreement.

4.5 Opening a reseller account requires payment of the platform fee for your chosen tier at sign-up. The platform fee and all other fees are governed by the Reseller Agreement.

4.6 We may suspend or close an account that breaks these terms or the Reseller Agreement.

5. Acceptable use of the Site

You must not:

(a) use the Site for any unlawful purpose;

(b) attempt to gain access to any part of the Site, any account, or any data that you are not authorized to access;

(d) copy, scrape or republish the Site's content, except for your own reference;

(e) use the demo to generate traffic that is not a genuine trial of the agent;

(f) use the Site to send unsolicited messages; or

(g) use an account, or the platform reached through it, for any use the Reseller Agreement prohibits.

6. Intellectual property

6.1 The Site, its content, the Novaris name and logo, and the platform are owned by us or our licensors. You may view the Site and print pages for your own reference. You may not otherwise copy or use them without our written permission.

6.2 A reseller's right to use the platform under its own brand is granted by the Reseller Agreement, not by these terms.

7. Links

The Site may link to other websites. We are not responsible for their content or their terms.

8. Liability

8.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

8.2 The Site and the demo are provided as they are. We do not promise that the Site will be available at all times, free of errors, or that its content is complete or current.

8.3 Subject to clause 8.1, we are not liable for any loss arising from your use of, or inability to use, the Site or the demo, or from your reliance on its content. Liability in connection with the platform is governed by the Reseller Agreement.

9. Changes to these terms

9.1 We may change these terms.

9.2 We will give at least 30 days' notice of a material change by posting the new version at this address with its effective date and, if you hold an account, by email. A change required by law, a regulator or a telecommunications carrier may take effect sooner, with notice as soon as reasonably possible.

9.3 A correction, an improvement to clarity, or any other change that does not reduce your rights takes effect on publication.

9.4 Continuing to use the Site after the effective date of a change is acceptance of it. If you do not accept a change, stop using the Site, or close your account, before the effective date.

10. Governing law and jurisdiction

These terms and any dispute arising out of or in connection with them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
